对于公司,就收益净现值来说,如果合同能让它们的资本密集型风险投资获得持续的回报,那么这些合同更有可能是持久的。当然,公司也希望所签订的合同不会被下一届政府否定。事实上,协商不到位的合同会带来不利的商业后果,比如开采权不稳定、公民发动针对性抗议扰乱开采的可能性增加、政府修改税收以及其他条件的可能性也会上升。
许多复杂的合同需要深入的法律知识、金融知识、地理知识以及经济模型知识等,这是许多非洲政府所无法达到的,而公司通常拥有这些知识。于是,双方协商的合同通常不能满足上述的各种标准,这不仅损害了政府的利益,也不利于那些想要持久合同的公司。由于缺乏公正谈判的条件,政府常常认为签订的合同是不公平的——如此一来,违约情况注定会发生。
基于这些情况,我们迫切需要建立一种便利机制,使贫困国政府能与外国投资者公平协商,签署在当时来说尽可能公平的合同。这种公平协商达成的合同将会——也会被认为是——更为平衡、透明、稳定,因此也更有持久性。
为了政府和公司间的互利合作,现在是时候建立此类的便利机制了。
